Ketentuan Penggunaan / Terms of Use

1. Pendahuluan

etentuan Penggunaan ini (“Ketentuan”) merupakan perjanjian hukum yang sah dan mengikat antara PT Khana Media Record (selanjutnya disebut “Label”) dan pihak yang menyerahkan konten kepada Label (“Artis”, “Pemilik Master”, atau “Mitra Label”).
These Terms of Use (the “Terms”) constitute a legally binding agreement between PT Khana Media Record (the “Label”) and the party delivering content (the “Artist”, “Master Owner”, or “Partner Label”).

Ketentuan ini mengatur penyerahan, pengelolaan, distribusi, dan eksploitasi rekaman suara (Master Recordings) melalui sistem dan layanan Label.
These Terms govern the delivery, management, distribution, and exploitation of sound recordings (“Master Recordings”) through the Label’s services.

Dengan menggunakan layanan Label dan/atau menandatangani perjanjian terkait, Anda menyatakan telah membaca, memahami, dan menyetujui seluruh Ketentuan ini.
By using the Label’s services and/or executing any related agreement, you acknowledge that you have read, understood, and agreed to these Terms.

2. Kedudukan & Model Usaha Label

PT Khana Media Record beroperasi secara eksklusif sebagai Master Record Label tingkat enterprise dan bekerja sama dengan distributor global pihak ketiga, termasuk namun tidak terbatas pada Believe, untuk distribusi dan pengelolaan Master Recordings.
PT Khana Media Record operates exclusively as an enterprise-level Master Record Label and collaborates with third-party global distributors, including but not limited to Believe.

Label tidak bertindak sebagai Music Publisher. Hak cipta komposisi dan administrasi publishing dikelola secara terpisah oleh PT Khana Media Nusantara atau publisher terkait.
The Label does not act as a music publisher. All composition copyrights and publishing administration are handled separately by PT Khana Media Nusantara or other designated publishers.

3. Penyerahan Konten (Content Delivery)

Artis atau Pemilik Master wajib menyerahkan seluruh materi yang diperlukan untuk distribusi Master Recordings, termasuk rekaman final, artwork, metadata, ISRC, dan data kepemilikan.
The Artist or Master Owner shall deliver all materials required for the distribution of the Master Recordings, including final audio files, artwork, metadata, ISRCs, and ownership information.

Label berhak menolak atau menangguhkan Konten yang tidak memenuhi standar teknis, hukum, atau kebijakan distributor/DSP.
The Label reserves the right to reject or suspend any Content that does not meet technical, legal, or distributor/DSP requirements.

4. Kepemilikan & Ruang Lingkup Hak

Kepemilikan atas Master Recordings tunduk pada perjanjian tertulis terpisah dan tidak dianggap dialihkan kecuali dinyatakan secara tegas.
Ownership of the Master Recordings shall be governed by separate written agreements and shall not be deemed transferred unless expressly stated.

Hak publishing, mechanical, dan performing rights secara tegas dikecualikan dari Ketentuan ini.
Publishing, mechanical, and performance rights are expressly excluded from these Terms.

5. Lisensi kepada Label

Artis atau Pemilik Master memberikan lisensi eksklusif atau non-eksklusif (sesuai perjanjian) kepada Label untuk eksploitasi Master Recordings di seluruh dunia selama masa perjanjian.
The Artist or Master Owner grants the Label an exclusive or non-exclusive (as agreed), worldwide license to exploit the Master Recordings during the term of the agreement.

Lisensi ini terbatas pada hak master dan mencakup distribusi digital, monetisasi, klaim hak, Content ID, dan audio fingerprinting.
Such license is strictly limited to master rights and includes digital distribution, monetization, rights claiming, Content ID, and audio fingerprinting.

6. Distribusi Digital & Pihak Ketiga

Distribusi tunduk pada kebijakan distributor dan DSP. Label tidak menjamin performa komersial, ketersediaan permanen, atau penempatan editorial.
Distribution is subject to third-party distributor and DSP policies. The Label makes no guarantees regarding commercial performance, permanent availability, or editorial placement.

7. Royalti Master & Pelaporan

Royalti dihitung berdasarkan Net Master Revenue yang benar-benar diterima oleh Label dari distributor dan DSP.
Royalties are calculated based on Net Master Revenue actually received by the Label from distributors and DSPs.

Royalti publishing berada di luar tanggung jawab Label.
Publishing-related royalties are outside the Label’s scope and responsibility.

8. Pernyataan, Jaminan & Ganti Rugi

Artis menjamin kepemilikan dan kebebasan hukum atas Master Recordings serta setuju mengganti kerugian atas klaim pihak ketiga.
The Artist represents full ownership and legal clearance of the Master Recordings and agrees to indemnify the Label against third-party claims.

9. Kepatuhan, Penangguhan & Takedown

Label berhak menangguhkan atau menurunkan Konten demi kepatuhan hukum atau kebijakan distributor/DSP.
The Label may suspend or remove Content to comply with legal obligations or distributor/DSP requirements.

10. Batasan Tanggung Jawab

Label tidak bertanggung jawab atas kerugian tidak langsung atau konsekuensial sejauh diizinkan hukum.
The Label shall not be liable for indirect or consequential damages to the maximum extent permitted by law.

11. Pengakhiran

Pengakhiran tunduk pada perjanjian tertulis terpisah, dan ketentuan tertentu tetap berlaku setelah pengakhiran.
Termination is governed by separate written agreements, and certain provisions shall survive termination.

12. Hukum yang Berlaku

Ketentuan ini tunduk pada hukum Republik Indonesia dan sengketa diselesaikan melalui BANI.
These Terms are governed by the laws of the Republic of Indonesia, and disputes shall be resolved through BANI.
